The following terms of use agreement (hereinafter referred to as “Terms”) govern the use Tutaki "Services" which include the website, Platform (generally accessible via Insights.Tutaki.com) and all domains, webpages, sub domains and subparts therein contained (the “Website”). The services available through the Website are provided by Tutaki Limited (hereinafter referred to as “TL”).
Use of the Website is offered subject to your acceptance without modification of all the terms and conditions contained herein and all other operating rules, policies and procedures that are published from time to time on the Website by TL.
By using or accessing any part of the Website you agree to become bound by the Terms in their entirety. If you do not agree to the Terms in their entirety then you may not access the Website.
TL reserves the right, at its sole discretion, to modify or replace any part of the Terms at any time. It is your responsibility to check the Terms periodically for changes. Your continued use of or access to Services following the posting of any changes to these Terms constitutes acceptance of those changes. If any change to these Terms is not acceptable to you, you must cease accessing TL Services.

2.2 Your Registration Obligations: By registering an account on the Website you agree to provide true, accurate, current and complete information about yourself as prompted by the Website registration form (hereinafter the “Registration Data”). You further agree to maintain and promptly update the Registration Data to keep it true, accurate, current and complete.
2.3 Your Account Security: By registering an account on the Website, you are fully responsible for maintaining the security and confidentiality of your account. You are fully responsible for all activities that occur under your account, including, without limitation, all actions by other users (not-permitted under the Terms) with access to your account. You agree to immediately notify TL of any unauthorised access to your account. TL will not be liable for any loss, damage or other liability arising from your failure to comply with this section of the Terms or from any unauthorised access to or use of your account.
2.4 Acceptable Use: You must not: (a) copy, reverse engineer, or create derivative works of the Services; (b) resell or provide the Services to third parties except as expressly allowed; (c) use the Services for competitive benchmarking or to build a competing product; (d) upload malware, conduct fraud, spam, or phishing; (e) mine, scrape, or harvest data (including for AI model training); (f) try to bypass technical or usage limits, including via VPN to circumvent geographic pricing; or (g) infringe others’ rights.
2.5 Trials & Beta: From time to time we may provide trials, previews or beta features. These are provided as-is, may be changed or withdrawn at any time, may be subject to additional terms or usage limits, and are excluded from any service level or support commitments.
TL is an early-stage startup company. The accuracy of the information contained or output by the Platform is not guaranteed. Outputs may be inaccurate/biased the user remains responsible and the outputs are not professional advice. The user is not permitted to solely rely on the accuracy of information contained on the Website, including any information provided by the Platform’s tools. TL is not responsible for any loss caused by the reliance on information contained or output by the Platform.
TL reserves the right at any time to, and from time to time may modify, suspend or discontinue, temporarily or permanently, TL Services for any reason or no reason with or without notice. You agree that TL shall not be liable to you or to any third party for any modifications, suspension or discontinuation of Tutaki Services. For material changes that, in our reasonable opinion, adversely affect paid users, we will provide reasonable advance notice. If we discontinue a paid Service during your current subscription term, your exclusive remedy is a pro-rata refund.
4.1 Free Plan: TL may offer certain Services at no charge (the “Free Plan”). The Free Plan is provided as-is and as-available. We may at any time change usage limits, change features, introduce charges for continued use, or discontinue the Free Plan (or any Free feature). Where reasonably practicable, we will give at least 30 days’ notice before materially discontinuing the Free Plan or introducing a fee for continued use. If you do not wish to pay any new fees, you must opt out or you must stop using the affected Free Services before they take effect.
4.2 Paid Plan: TL may change fees and plan structures. Any fee increase will apply at renewal and only after reasonable advance notice (no less than 30 days) provided via email or in-product notice. You may cancel before the change takes effect. Downgrades take effect at the end of your current billing period and may result in loss of access to certain features or content. If we materially modify a paid offering to become effective during your current term and you object, you may terminate the affected subscription and TL will refund any pre-paid fees for the unused portion of that term.
TL shall retain all rights in and to the Services, including all documentation, modifications, improvements, upgrades, derivative works, and all other Intellectual Property rights in connection with the Website, including the TL's name, logos and trademarks reproduced through the Website.
TL is granted a license to process user-provided content for the sole purpose of providing the services. Refer to the TL Trust Center for data usage information.
5.1 Ownership & license: As between you and TL, you own any data, documents, files and other content you submit to or generate within the Services (“Customer Content”). You grant TL a limited license to host, process, transmit, display, back up and otherwise use Customer Content solely to provide, secure and maintain the Services and to comply with law.
5.2 Usage Data: TL may generate and use aggregated or de-identified data about use and performance of the Services (“Usage Data”) to operate, analyze, improve and develop its products and services.
5.3 Feedback: If you provide ideas, suggestions or feedback, you grant TL a royalty-free, irrevocable license to use and incorporate them without restriction or obligation to you.
Services are provided “as is”. TL hereby disclaims all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement. TL does not make any warranty that Services will be error-free or that access to the Services will be continuous or uninterrupted. You obtain content or services through the TL Services at your own discretion and risk.
